1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Interview Platform Inc. ("Company," "we," "us," or "our") concerning your access to and use of our technical interview platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

2. Description of Services

Interview Platform provides on-demand technical interview services, including:

• Access to a network of qualified technical interviewers
• Scheduling and conducting technical interviews
• Standardized interview templates and evaluation frameworks
• Detailed interview reports and candidate assessments
• Video recording and transcription services (with consent)
• Analytics and hiring insights dashboard

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By registering, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and current

3.3 Corporate Accounts

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you individually and the organization.

4. Acceptable Use Policy

You agree not to:

• Use the services for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Harass, abuse, or harm interviewers, candidates, or other users
• Discriminate based on protected characteristics in hiring decisions
• Attempt to gain unauthorized access to our systems or networks
• Transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble our platform
• Share interview content or proprietary materials without authorization
• Use automated systems to access the services without permission
• Interfere with or disrupt the integrity of our services

5. Interviewer Network

5.1 Independent Contractors

Our interviewers are independent contractors, not employees of Interview Platform. We perform background checks and vetting, but clients acknowledge that interviewers operate independently.

5.2 Interviewer Qualifications

While we strive to maintain high standards, we do not guarantee specific qualifications, expertise levels, or performance outcomes. Interview evaluations represent professional opinions, not guarantees of candidate capabilities.

5.3 Conduct Expectations

We expect all parties to maintain professional conduct during interviews. Inappropriate behavior should be reported to [email protected] for investigation.

6. Payment Terms

6.1 Pricing

Pricing is available on our Pricing page and may vary based on:

• Interview duration and complexity
• Interviewer seniority and specialization
• Volume commitments and subscription plans
• Additional services (priority scheduling, rush reports, etc.)

6.2 Payment Processing

Payments are processed through secure third-party payment processors. You authorize us to charge your designated payment method for all fees incurred. All fees are in USD unless otherwise specified.

6.3 Subscription Plans

Subscription plans renew automatically unless cancelled. You may cancel at any time, with cancellation effective at the end of the current billing period. Unused credits may expire according to plan terms.

6.4 Refunds

Refunds are provided at our discretion for:

• Technical issues preventing interview completion (full refund)
• Interviewer no-shows or significant delays (full refund)
• Quality concerns with interview conduct (case-by-case review)

Cancellations made less than 24 hours before scheduled interviews may incur cancellation fees (50% of interview cost).

6.5 Late Payments

Late payments may result in service suspension and interest charges of 1.5% per month (or the maximum permitted by law) on overdue amounts.

7. Intellectual Property Rights

7.1 Platform Ownership

All rights, title, and interest in the Interview Platform, including software, designs, trademarks, and proprietary methodologies, are owned by us or our licensors. These Terms do not grant you any ownership rights.

7.2 Client Content

You retain ownership of content you provide (job descriptions, candidate information, etc.). You grant us a limited license to use this content solely to provide our services.

7.3 Interview Reports

Interview reports and evaluations generated through our platform are jointly owned. You receive exclusive rights to use reports for your hiring decisions. We may use anonymized, aggregated data for analytics and improvement purposes.

7.4 Feedback

Any feedback, suggestions, or ideas you provide become our property, and we may use them without restriction or compensation.

8. Confidentiality

Both parties agree to maintain confidentiality of:

• Interview content, questions, and evaluation criteria
• Candidate information and assessment results
• Business information and hiring strategies
• Proprietary platform features and methodologies

This obligation survives termination of these Terms for a period of 3 years.

9. Data Privacy and Security

Our collection and use of personal information is governed by our Privacy Policy. We implement industry-standard security measures, including:

• SOC 2 Type II compliance
• GDPR and CCPA compliance
• Regular security audits and penetration testing
• Data encryption at rest and in transit

You are responsible for compliance with applicable data protection laws when using our services.

10. Disclaimers and Warranties

10.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This is your exclusive warranty.

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• Services will be uninterrupted, secure, or error-free
• Results obtained will be accurate or reliable
• Quality of services will meet your requirements
• Any errors will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INTERVIEW PLATFORM, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• COST OF PROCUREMENT OF SUBSTITUTE SERVICES
• DAMAGES ARISING FROM HIRING DECISIONS BASED ON INTERVIEW RESULTS

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Interview Platform and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of our services
• Violation of these Terms
• Violation of any law or third-party rights
• Your hiring decisions or employment practices
• Content you provide to the platform

13. Term and Termination

13.1 Term

These Terms remain in effect while you use our services or maintain an account.

13.2 Termination by You

You may terminate your account at any time through account settings or by contacting support. Termination does not relieve you of payment obligations for services already rendered.

13.3 Termination by Us

We may suspend or terminate your access immediately if you:

• Breach these Terms
• Fail to pay amounts due
• Engage in fraudulent or illegal activity
• Harm our reputation or business interests

13.4 Effect of Termination

Upon termination:

• Your access to services will cease
• We will delete or anonymize your data within 90 days (except as required by law)
• Provisions regarding payment, intellectual property, confidentiality, and liability survive termination

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt informal resolution. We will attempt to resolve disputes within 30 days.

14.2 Arbitration Agreement

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in San Francisco, California.

14.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as part of any class or representative action. Class arbitrations and class actions are not permitted.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or confidentiality breaches.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

15.2 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Interview Platform regarding our services.

15.3 Amendments

We may modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15.4 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to be enforceable while reflecting the parties' intent.

15.5 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

15.6 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

15.7 Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control (natural disasters, war, pandemics, internet outages, etc.).
